Terms & Conditions

These terms apply to the services provided by Adaptation Ventures Pty Ltd (ABN 48 702 388 252, ACN 702 388 252), the operator of Adaptation AI (“we”, “us”, “our”). By accepting a quote, proposal or statement of work from us, or by paying an invoice, you agree to these terms. If a signed agreement or statement of work with you says something different, that document applies to the extent of the difference.

We provide applied AI services to organisations: education and training on working with AI, building tailored AI agents and workflows, and operating them for you as a managed service. The scope, deliverables, timing and price of each engagement are set out in the quote, proposal or statement of work we agree with you.

We will provide our services with due care and skill. You agree to give us the information, access and decisions we reasonably need to deliver them, and to make sure that any data or materials you give us can lawfully be used for the engagement.

The price and payment terms for each engagement are set out in its quote. Prices are in Australian dollars. Invoices are payable within the time stated on the invoice.

Card payments are processed securely by a third-party payment gateway. We do not store your card details.

Cancellations and refunds are covered by our Refund & Cancellation Policy.

Our services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded.

To the extent the law allows, and subject always to the Australian Consumer Law section above:

• where our services are not of a kind ordinarily acquired for personal, domestic or household use, our liability for a failure to comply with a consumer guarantee is limited to supplying the services again or paying the cost of having them supplied again;
• we are not liable for indirect or consequential loss, or for loss caused by your data, systems or instructions, or by third-party services outside our control.

These limits do not apply where the law does not allow them to.

You keep ownership of your data and of the materials you give us. Ownership of, and licences to use, the deliverables we create for you are set out in the quote, proposal or statement of work for that engagement. We keep ownership of our pre-existing tools, methods, know-how and reusable components, and you receive a licence to use them as part of the deliverables.

We keep your confidential information confidential and use it only to deliver our services. We handle personal information in line with our Privacy Policy.

These terms are governed by the laws of South Australia, Australia. Each party submits to the non-exclusive jurisdiction of the courts of South Australia.
